A study of the issues which drive merger decisions, it looks at the success factors in achieving positive results, the leadership required and the valuation methods used. We take a look at the various analyses done of the effect which mergers and acquisitions have on shareholder value. To provide an illustration of the approaches to M&A in the banking industry, we have included ten case studies with varying degrees of success.

Our analysis has been augmented by interviews with 30 people who have an in-depth knowledge of the industry. These include financial analysts, management consultants, academics, fund managers, investment banks and rating agencies.

Overwhelmed and confused by the plethora of solutions offered by the US regulators and others to the issue of independent equity research, we submitted the attached to the Comment page of the Financial Times in November, 2002. To our knowledge it has not been published, nor is there any indication it ever will be, but we thought our friends might be interested in our reflections!

A REPORT CARD FOR BANCASSURANCE IN EUROPE - AND LESSONS FOR THE FUTURE

As other markets like the US introduce the concept of bancassurance - the fusion of retail banking and insurance - it is timely to summarise the conclusions from Europes decade-long experience with the reality on the ground. In terms of business mix and market positioning, winners include insurers like ING who have acquired successful banking businesses and the southern European banks who have won dominant positions in life insurance distribution through organic growth. Losers - even before the recent collapse of equity values - include many who bought insurers for their assets under management as well as perceived ability to distribute banking products. Yet many open questions remain to be researched - in particular the bancassurance potential in northern European markets like the UK and Germany.
